1. These terms

These Terms & Conditions govern your use of the w52 web app and website (the “Service”). Please read them carefully. By creating an account or using the Service, you agree to be bound by these terms. If you do not agree, please do not use the Service.

We may amend these terms from time to time. The version and date at the top of this page show when they were last updated. If we make a significant change we will take reasonable steps to let you know. Your continued use of the Service after a change takes effect means you accept the updated terms.

2. Definitions

  • “Account” means the account you register to use the Service.
  • “Content” means anything you add to the Service, including your roles, missions, objectives, tasks, weekly plans, lists and labels.
  • “Service” means the w52 web app and website, however you access them.

3. About us

The Service is operated by Devstack Consultancy Limited, a company registered in England and Wales with company number 08363434, whose registered office is at West Hill House, Allerton Hill, Chapel Allerton, Leeds, LS7 3QB. Devstack Consultancy Limited trades as w52. You can contact us at support@w52.app.

4. The Service

w52 is a personal life-management tool. It helps you define the roles you play in life, set a mission and objectives for each, organise your tasks using an Eisenhower matrix, and turn your focus into a weekly plan. The Service is currently provided free of charge. We may change, add to or remove features from time to time.

5. Your account

  • You must be at least 18 years old and able to enter into a binding contract to create an account.
  • You must provide accurate information when you register and keep it up to date.
  • Your account is for your personal use. You are responsible for keeping your password confidential and for all activity under your account.
  • Please tell us as soon as possible if you believe your account or password has been compromised.

6. Acceptable use

When using the Service you must not:

  • use the Service for any unlawful, fraudulent or harmful purpose;
  • upload content that is unlawful, infringes someone else’s rights, or contains another person’s personal information without a proper basis for doing so;
  • introduce viruses, malware or any other harmful code;
  • attempt to gain unauthorised access to the Service, other accounts, or our systems, or to circumvent any security or access controls; or
  • copy, modify, reverse-engineer, decompile or create derivative works from any part of the Service, except to the extent the law does not allow us to prevent it.

You agree to indemnify us against any claims, losses and reasonable costs arising from your breach of these terms or your misuse of the Service.

7. Your content

You keep ownership of your Content. To run the Service for you, you grant us a limited, non-exclusive, royalty-free licence to store, process and display your Content solely for the purpose of providing and supporting the Service. We do not claim any other rights in your Content and we do not sell it.

You are responsible for your Content and for having the right to add it. We may remove Content, or suspend or close an account, where we reasonably believe these terms have been breached or where we are required to do so by law. How we handle the personal information in your Content is set out in our Privacy Policy.

8. Our intellectual property

We own or license all intellectual property rights in the Service, including its software, design, brand, name and logo. Nothing in these terms transfers any of those rights to you. Subject to your compliance with these terms, we grant you a limited, revocable, non-transferable right to use the Service for your personal use.

9. Availability

We work to keep the Service available, but we do not guarantee that it will always be available or uninterrupted, or that it will be free of bugs or errors. We may suspend, withdraw or restrict all or part of the Service for operational, maintenance or business reasons, and we will try to give you reasonable notice where we can. The Service is provided on an “as is” and “as available” basis.

10. Not professional advice

w52 is a personal planning and productivity tool. It does not provide medical, psychological, financial, legal or other professional advice, and you should not rely on it as a substitute for advice from a qualified professional. Any decisions you make based on your use of the Service are your own responsibility.

11. Our responsibility to you

We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Subject to that, we are not liable for any loss of profit, loss of business, business interruption, or any indirect or consequential loss arising out of or in connection with your use of the Service. Because the Service is provided free of charge, our total liability to you for any and all claims arising out of or in connection with the Service is limited to £100. We are not responsible for delays or failures caused by events outside our reasonable control.

12. Privacy

How we use the personal information you give us is set out in our Privacy Policy, and our use of cookies is described in our Cookie Policy.

13. Ending these terms

You may stop using the Service and close your account at any time from your account settings or by contacting us. We may suspend or close your account, and end these terms, if you seriously or repeatedly breach them, if we are required to do so by law, or if we reasonably need to protect the Service or its users. Any terms that are intended to survive termination — including sections on your content licence, intellectual property, liability and governing law — will continue to apply.

14. General

  • If any part of these terms is found to be unlawful or unenforceable, the rest will continue to apply.
  • If we delay in enforcing these terms, we can still enforce them later.
  • These terms are the entire agreement between you and us regarding the Service.
  • You may not transfer your rights or obligations under these terms without our consent. We may transfer ours to a successor of our business.

15. Governing law

These terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the courts of England and Wales.
